Welcome to Aizii (the "Platform", "Service", "Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, tools, proprietary Artificial Engine Optimization (AEO) diagnostic utilities, AI Search Optimization (ASO) indexing matrices, APIs, and automated data synchronization layers.
By accessing our website, initiating a domain scan, subscribing to a platform tier, or executing any optimization scripts provided by Aizii, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are strictly prohibited from using the Platform and must cease all actions immediately.
1. DEFINITIONS AND ENGINE TRANSFORMATION SCOPE
To ensure clarity regarding the novel paradigms of machine learning indexing optimization, the following definitions apply explicitly throughout these Terms:
- AEO (Artificial Engine Optimization): The proprietary process, algorithmic scoring models, and structure applied to online product content to ensure maximum indexing priority, high semantic matching, and deterministic visibility within Large Language Models (LLMs), AI conversational answer engines, and retrieval-augmented generation systems (RAG) including, but not limited to, OpenAI Search, ChatGPT, Google Gemini, and Perplexity AI.
- ASO (AI Search Optimization): The structural optimization, semantic anchor mapping, and metadata schema deployments targeting AI-driven query filters, agentic shopping routers, and programmatic commerce agents.
- Context Window Indexing: The physical limits of structured token processing utilized by external LLMs to calculate recommendations during a runtime shopping query.
- Data Drift: Spontaneous or programmatic variations in real-time inventory, stock metrics, or localized pricing layers that generate validation anomalies within third-party model caches.
2. INTELLECTUAL PROPERTY AND PROPRIETARY SOFTWARE
2.1 Ownership
The Platform, including its underlying codebase, user interfaces, proprietary algorithmic scanning telemetry, high-yield product schema generators, AI-ready text mapping nodes, design configurations, animations, graphics, logos, and trademarks, is the sole property of Aizii and is protected under United States and international copyright, trademark, patent, and trade secret laws.
2.2 Limited License
Subject to full compliance with these Terms and any active service pricing tier obligations, Aizii grants you a limited, non-exclusive, non-transferable, revocable license to access the customer dashboard, execute live AEO scans, download visual diagnostic audit data, and integrate generated structured metadata layer code blocks natively onto your storefront.
2.3 Prohibited Conduct
You explicitly agree that you shall not, and shall not permit any third party to:
- Reverse-engineer, decompile, deconstruct, disassemble, clone, or attempt to extract the underlying source code or algorithmic grading metrics of the Aizii AEO analysis tool.
- Utilize scraper daemons, bots, or programmatic extractors to siphon optimization metrics, scoring templates, or interface mockups without direct API token authorizations.
- Sublicense, lease, resell, white-label, or commercially exploit Aizii optimization diagnostics to competitive entities without an enterprise distribution rider.
3. THE AEO / ASO DIAGNOSTIC COMPLIANCE DISCLAIMER
3.1 Third-Party Algorithmic Independence
Aizii acts exclusively as an optimization interface layer. You acknowledge and explicitly accept that third-party AI companies (including but not limited to OpenAI, Google, Anthropic, Perplexity, and Microsoft) run highly volatile, proprietary, closed-source machine learning models. These entities continuously alter their citation logic, contextual validation rules, token processing matrices, and recommended product parameters without warning.
3.2 No Guarantee of Recommendations
While Aizii optimizes your digital storefront parameters to maximize the probability of model selection (e.g., aiming for structural context compliance, schema health, and attribution preservation), Aizii does not, and cannot, guarantee explicit citation placement, a fixed percentage of recommendation share, or a specific transactional revenue increase. All AEO data outputs are executed on an "as-is" and "as-available" predictive basis.
3.3 Mitigation of Catalog Data Drift
You are solely responsible for keeping your backend store inventory data, pricing schemas, and specifications current. If a mismatch occurs between your active store database and the structured Aizii code injection layer, AI engine crawlers may apply safety flags resulting in automated recommendation drops. Aizii accepts no liability for system indexing adjustments triggered by external data discrepancies.
4. MODEL DRIFT, SYNTHETIC OUTPUTS, AND HALLUCINATION SAFE HARBOR
The Service generates diagnostic recommendations based on machine-learning predictive modeling frameworks. You explicitly acknowledge and accept that external Large Language Models (LLMs) are highly prone to "hallucinations"—defined as the generation of inaccurate, false, misleading, or synthetic data arrays regarding your products, pricing, or brand attribution.
Aizii holds absolute immunity from any business damages, reputational harm, or lost sales processing velocity resulting from third-party engine hallucinations, model decay, or sudden shifts in an AI engine's semantic processing logic. We do not guarantee that optimized structures will protect your brand from unfavorable, skewed, or omitted model outputs.
5. REVERSE ENGINEERING OF PROPRIETARY SCHEMAS AND INJECTION LAYERS
The exact hierarchy, design patterns, structure, arrangement, and processing method of the structured data layers, ASO JSON-LD schemas, and vector optimization parameters generated by Aizii represent core trade secrets and proprietary intellectual property of the Company.
You are strictly prohibited from utilizing our generated outputs to train competitive machine learning diagnostic systems, reverse-engineer our grading criteria, or construct automated wrappers designed to replicate the Aizii optimization utility. Any breach of this section results in immediate, non-refundable account termination and legal escalation.
6. PROHIBITED AGENTIC MANIPULATION (ACCEPTABLE USE)
You represent and warrant that you will not use Aizii's AEO or ASO systems to optimize storefront content that is fraudulent, deceptive, illegal, or malicious. You are strictly prohibited from utilizing our software to execute "search engine jailbreaks," semantic poisoning attacks, or artificial coordinate manipulation designed to trick AI search models into recommending:
- Prohibited, restricted, or counterfeit goods.
- Non-existent inventory engineered to exploit algorithmic arbitrage loops.
- Defamatory or harmful competitive data layers.
Aizii reserves the right to run automated pattern analysis scripts over your storefront inputs and will immediately terminate your platform license without notice if malicious manipulation or search-poisoning vectors are detected.
7. DATA TRANSMISSION, STORE PRICING, AND PRIVACY
7.1 Input Parameters
To initiate an AEO scan or trigger an ASO data conversion pipeline, you must provide a valid domain string, digital store link, or product repository vector map. You represent and warrant that you hold legitimate ownership rights or authorized managerial proxies for the domains submitted to our scanner.
7.2 Use of Store Metrics
By connecting your storefront or feeding product logs into Aizii, you grant us a royalty-free, global, perpetual license to ingest, compress, synthesize, and run analysis over your public product descriptions, catalog tags, historical pricing parameters, and visual schema structures. This data is collected solely to generate your dynamic audit metrics and train internal diagnostic models to better evaluate industry-wide AEO citation benchmarks. We do not sell or expose your private backend database tables.
8. USER ACCOUNTS, BILLING, AND CANCELLATION
8.1 Account Security
If you register a platform workspace to deploy automated schema syncing layers, you are fully accountable for preserving credential security. Any access tokens or client secrets deployed to execute ASO adjustments must be securely tracked; Aizii is not responsible for unauthorized site modification or structural indexing loss resulting from local credential leakage.
8.2 Subscription Billing
Certain tiers of the Aizii AEO auditing platform are billed on a recurring monthly or annual schedule. All payments are securely processed through our third-party token gateway. You authorize us to store payment instruments and systematically charge the recurring subscription fee on the designated billing date.
8.3 Cancellation and Refunds
You may terminate your workspace allocation at any point inside your account dashboard. Upon cancellation, your access to active platform dashboards will lapse at the end of the current paid billing cycle. Due to the high computing infrastructure overhead involved in processing live vector data scans, deep LLM testing loops, and generative schema generations, all fees paid are strictly non-refundable.
9. BETA TESTING, EXPERIMENTAL FEATURES, AND INSTABILITY
From time to time, Aizii may grant you access to experimental, alpha, or beta diagnostic features (such as autonomous testing agents or real-time LLM validation sandbox modules). You acknowledge that these features are provided strictly on an "as-is" and "as-available" proof-of-concept testing basis.
Beta features may contain severe visual bugs, structural data breaks, or indexing vulnerabilities. Aizii provides zero warranties, uptime service level agreements (SLAs), or liability coverages for any system disruptions caused by your activation of experimental platform modules.
10. INDEMNIFICATION AND LIMITATION OF LIABILITY
10.1 Indemnification
You agree to defend, indemnify, and hold harmless Aizii, its executive directors, core engineers, employees, and software contractors from and against any claims, losses, liability frameworks, costs, or damages (including immediate legal fees) arising from:
- Your direct breach of any conditions outlined in these Terms.
- Your deployment of Aizii-generated structural ASO code injections in a manner that explicitly violates the developer terms of service of third-party platforms or digital storefront architectures (e.g., Shopify, WooCommerce, custom headless configurations).
10.2 Liability Caps
To the maximum extent permitted by applicable law, in no event shall Aizii, its founders, or suppliers be held liable for any consequential, incidental, indirect, special, punitive, or exemplary damages whatsoever—including but not limited to loss of storefront revenue, drop in traditional search engine results pages (SERPs), loss of conversational citation authority, down-time during context window indexing adjustments, or loss of commercial consumer data—even if advised of the possibility of such damages.
Aizii's aggregate total liability for all separate claims arising under or related directly to these Terms shall be firmly capped at the total financial amount actually paid by you to Aizii for the specific services in question during the three (3) month duration immediately preceding the initial event giving rise to liability.
11. GOVERNING LAW AND RESOLUTION OF DISPUTES
11.1 Jurisdiction
These Terms and all associated transactional actions shall be strictly interpreted and governed in accordance with the internal laws of the State of Delaware, United States, without reference to conflict-of-law principles.
11.2 Mandatory Arbitration
Any dispute, legal conflict, or claim arising from or relating directly to the features, availability, or contractual agreements of the Aizii service shall be conclusively settled via confidential, binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. You explicitly waive your constitutional rights to participate in class-action litigation frameworks or representative group trials.
12. SEVERABILITY AND MODIFICATIONS
12.1 Severability
If any single structural paragraph or sentence inside these Terms is ruled illegal, unenforceable, or void by an authorized court of competent jurisdiction, the remaining terms shall survive completely intact and maintain their full contractual force.
12.2 Terms Modifications
Aizii reserves the unrestricted right to modify, adjust, update, or structurally change these Terms at any time to reflect changing AI compliance architectures, shifting legal regulations, or software capability upgrades. We will notify you of substantive changes by modifying the "Last Updated" metadata stamp at the peak of this interface. Continued utilization of the Aizii software engine following an update constitutes definitive confirmation of your legal acceptance of the revised Terms.
